CONTRACTING COUNSEL ASSOCIATE MANAGER

Work Setup: Onsite/Hybrid – Mandaluyong City

Work Shift: Shifting

Employment: Full-time

Location Requirement: Open to applicants currently in the Philippines with legal authorization to live and work in the country

ABOUT THE ROLE

We are looking for an experienced Contracting Counsel Associate Manager to join a dynamic legal and commercial team supporting complex technology-driven business transactions.

This role is ideal for a Philippine-qualified practicing lawyer with strong experience in commercial contracting, technology agreements, negotiations, intellectual property, data privacy, and risk management.

You will work closely with senior legal professionals and business stakeholders to structure, negotiate, and close transactions while providing practical legal and commercial guidance in a fast-paced corporate environment.

KEY RESPONSIBILITIES

Review, draft, negotiate, and finalize a wide range of commercial and technology-related agreements.
Handle contracts such as:
- Master Services Agreements (MSA)
- Outsourcing Agreements
- Statements of Work (SOW)
- Service Level Agreements (SLA)
- Licensing Agreements
- SaaS Agreements
- Data Transfer Agreements
- Requests for Proposals (RFPs)
- Cloud, blockchain, cybersecurity, automation, systems integration, and agile development agreements
Independently support the structuring and negotiation of client transactions while balancing legal, commercial, and business considerations.
Identify and manage contractual, legal, and business risks and recommend practical solutions.
Partner with senior legal professionals and internal business stakeholders before and during client negotiations.
Provide legal and risk-management advice to executives and business leaders.
Manage a high volume of transactions with a strong degree of autonomy and attention to detail.
Stay current with developments affecting the company, clients, technology, and relevant industries.
Develop subject-matter expertise in areas that support the Legal function and business operations.
Contribute to internal legal guidelines, contracting toolkits, playbooks, and knowledge resources.
Support and implement Legal Group initiatives and continuous improvement programs.
Collaborate with cross-functional teams to ensure efficient and commercially sound contracting practices.
Continuously develop as a modern, technology-enabled, business-minded contracting professional.l

QUALIFICATIONS

Must Have:

Must be a practicing lawyer in the Philippines.
At least 4 years of relevant legal experience in digital, consulting, systems integration, outsourcing, technology, or related industries.
Experience gained in a law firm or fast-paced corporate legal/transactional environment.
Strong experience in drafting and negotiating technology-based agreements.
Demonstrated experience handling contractual negotiations with increasing levels of responsibility.
Strong understanding of contractual and risk issues involving Intellectual Property (IP) and Data Privacy.
Experience negotiating IP and Data Privacy matters is highly preferred, with at least 2 years of relevant experience preferred.
Proven ability to manage and negotiate multiple transactions simultaneously with minimal supervision.
Strong understanding of principle-based negotiation strategies and the ability to present practical alternatives and solutions.
Good understanding of Finance, Accounting, Marketing, and Management principles.
Strong executive presence and stakeholder-management skills.
Excellent written and verbal communication skills in English and Filipino
