Job Description :

We are looking for a Contracting Counsel Associate Manager to review, draft, negotiate, and support the execution of commercial and technology-related contracts in a fast-paced corporate environment. The role will handle agreements such as Master Services Agreements (MSAs), outsourcing agreements, Statements of Work (SOWs), Service Level Agreements (SLAs), licensing agreements, SaaS agreements, data transfer agreements, cloud, systems integration, and other technology-related agreements. The position will provide practical legal and commercial advice on contracting, risk management, Intellectual Property (IP), Data Privacy, technology transactions, and business requirements while working with senior legal professionals and internal stakeholders.

Key Responsibilities :

Review, draft, negotiate, and close commercial and technology contracts, including MSAs, outsourcing agreements, SOWs, SLAs, licensing, SaaS, data transfer, cloud, and systems integration agreements.
Provide legal and commercial advice on contracting risks, Intellectual Property, Data Privacy, technology transactions, and business requirements.
Work with senior legal professionals and internal stakeholders to develop negotiation strategies, evaluate risks, and provide practical solutions.
Stay updated on legal, business, industry, and technology developments relevant to contracting and transactional activities.
Contribute to legal guidelines, contracting toolkits, knowledge resources, and other Legal Group initiatives.

Required Skills :

Strong contract drafting, review, negotiation, and transaction management skills.
Experience negotiating technology-related agreements, including outsourcing, SaaS, licensing, cloud, and systems integration contracts.
Strong knowledge of Intellectual Property, Data Privacy, legal risk management, and commercial contracting.
Strong negotiation, analytical, problem-solving, communication, and stakeholder-management skills.
Strong executive presence with a basic understanding of Finance, Accounting, Marketing, and Management principles.

Qualifications :

Must be practicing law in the Philippines.
Minimum 4 years of relevant experience in digital, consulting, systems integration, and/or outsourcing environments.
Experience in a law firm or fast-paced corporate legal/transaction group is preferred.
Minimum 2 years of experience negotiating Intellectual Property and Data Privacy issues is preferred.
Demonstrated experience in drafting and negotiating technology-based agreements.
Ability to manage a high volume of transactions independently.
Strong understanding of contracting and risk issues related to digital, consulting, systems integration, and outsourcing transactions.
Excellent oral and written communication skills in English and Filipino.

Important Notes :

Onsite / Hybrid work setup in Mandaluyong, Philippines.
Shifting schedule is required.
Candidates must be currently based in the Philippines and have the legal right to live and work in the Philippines.
Practicing law in the Philippines is mandatory.
Experience with Intellectual Property and Data Privacy negotiations is preferred.
