Job Summary :

We are hiring an Acquisitions Legal Counsel Associate Manager / M&A Legal Counsel to provide legal support for Mergers & Acquisitions (M&A), strategic investments, legal due diligence, transaction documentation, commercial contracts, and legal risk management. The role will work closely with M&A deal attorneys, Legal Integration teams, Procurement, Contracting, and other Legal and business stakeholders across different geographies. The position will support the full transaction lifecycle, including due diligence, risk identification and mitigation, contract review and drafting, transaction support, and pre- and post-acquisition legal activities.

Key Responsibilities :

Provide legal support for M&A and strategic investment transactions, including legal due diligence, risk identification, mitigation planning, and transaction support.
Review, draft, and support negotiation of M&A transaction documents, commercial agreements, client agreements, alliance agreements, supplier agreements, and other legal documentation.
Collaborate with M&A deal attorneys, Legal Integration teams, Procurement, Contracting, and other stakeholders to review data room materials and target-company agreements.
Provide legal guidance on contract and subcontract compliance, commercial and legal issues, and resolution of contractual risks in accordance with company policies and applicable laws.
Train team members and develop legal checklists, process documentation, and improved processes for pre- and post-acquisition legal support.

Required Skills :

Strong knowledge of Mergers & Acquisitions (M&A), strategic investments, legal due diligence, and transactional legal matters.
Strong contract drafting, contract review, negotiation, and commercial contracting skills.
Knowledge of corporate law, commercial contracting, subcontracting practices, and contract compliance.
Strong legal analysis, research, problem-solving, judgment, prioritization, time management, and organizational skills.
Excellent communication and stakeholder management skills, with the ability to work effectively with Legal teams, business stakeholders, executives, and global teams.

Qualifications :

Bachelor's degree in Law.
Minimum 8 years of experience working in a law firm and/or as an in-house counsel.
Strong experience specifically in M&A practice, including M&A transactions and legal due diligence.
Experience in general corporate law, commercial contracting, subcontracting practices, and transactional legal support.
Demonstrated ability to draft and review legal and contractual documents to a professional standard.
Experience coordinating teams or working effectively as an individual contributor.
Strong attention to detail, sound judgment, responsiveness, flexibility, and problem-solving ability.
Ability to collaborate effectively across different cultures, locations, and global teams.
Fluent in English; additional language skills may be required depending on the supported geography.

Important Notes :

Onsite / Hybrid work setup in Mandaluyong, Philippines.
Shifting schedule is required.
Travel may be required.
Candidates must be currently based in the Philippines and have the legal right to live and work in the Philippines.
Salary is confidential and will be discussed during the job offer.
Candidates should have specific M&A legal experience, including legal due diligence and M&A transactions.
The role supports global M&A and strategic investment activities.
